1. Acceptance of Terms
These Terms of Service (“Terms”) govern your use of the websites benalika.com and aiinnovatorpro.com (the “Sites”) and the services offered through them. The Sites and all related services are owned and operated by Benalika Consult Inc. (operating under the registered trade name “AI Innovator Pro”), a corporation registered in British Columbia, Canada (“the Company”, “we”, “us”, or “our”).
By accessing the Sites or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Sites or engage our services.
2. Services
Benalika Consult Inc. delivers digital automation services through AI Innovator Pro, including:
- AI Readiness Blueprint — assessment and roadmap services
- Innovator Social Agent — automated social media and Meta page management
- Voice Innovator — AI voice agent design and deployment
- SEO Web Development — static website design and build
Specific service scope, deliverables, and timelines are agreed in writing per engagement prior to commencement of work. These Terms apply alongside any project-specific agreements.
3. User Obligations
When using the Sites or engaging our services, you agree to:
- Provide accurate and complete information in forms and communications
- Use the Sites and services only for lawful purposes
- Not attempt to access systems, accounts, or data that do not belong to you
- Not reproduce, distribute, or resell any service output without written permission from Benalika Consult Inc.
4. Payment Terms
Fees for services are agreed in writing per engagement before work begins. Unless otherwise specified in a project agreement:
- Invoices are payable within 14 days of issue
- Prices are in Canadian dollars (CAD) unless otherwise stated
- Applicable taxes will be added where required by law
Non-payment may result in suspension of services and, where applicable, removal of deliverables from production until outstanding amounts are settled.
5. Intellectual Property
All content on the Sites — including text, graphics, code, and service descriptions — is the property of Benalika Consult Inc. or its licensors and is protected by Canadian copyright law.
Upon full payment for a completed engagement, the client receives a licence to use the specific deliverables produced for that engagement. Benalika Consult Inc. retains ownership of underlying tools, templates, frameworks, and methodologies unless ownership transfer is explicitly agreed in writing.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Benalika Consult Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Sites or services.
The Company’s total liability for any claim arising under these Terms shall not exceed the total fees paid by you for the service giving rise to the claim in the three months preceding the claim.
7. Indemnification
You agree to indemnify, defend, and hold harmless Benalika Consult Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Sites or services, your violation of these Terms, or your violation of any third-party rights.
8. Governing Law and Jurisdiction
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to conflict of law principles. Any legal action or proceeding relating to these Terms must be brought exclusively in the courts of British Columbia, Canada, referencing the parent entity Benalika Consult Inc.
If you are accessing the Sites from outside Canada, you are responsible for compliance with applicable local laws.
9. Changes to These Terms
We may update these Terms from time to time. We will revise the “Last updated” date when we do. Continued use of the Sites after changes are posted constitutes acceptance of the revised Terms.
